The consolidated financial statements contained in the Annual Report consist of the consolidated balance sheets of the Company as of December 31, 2019 and 2018, and the related consolidated statements of operations, consolidated statements of changes in stockholders’ equity (deficit), and consolidated statements of cash flows for the years ended December 31, 2019 and 2018, and related notes, and accordingly do not reflect the acquisition of our new wholly-owned subsidiary, Home Bistro, which was consummated on April 20, 2020, as more fully detailed in the Annual Report and the Company’s Current Report on Form 8-K filed with the SEC on April 22, 2020 (the “April Current Report”).
